New HSR Thresholds Announced

The FTC has announced the new adjusted HSR thresholds. Every year the thresholds are adjusted, up from the original amounts in §7A Clayton Act. Adjustments will be effective 30 days after publication. The FTC’s press release is here.

HSR ORIGINAL THRESHOLD AND ADJUSTED THRESHOLD

  • $10 million adjusted to $13.0 million
  • $50 million adjusted to $65.2 million
  • $100 million adjusted to $130.3 million
  • $110 million adjusted to $143.4 million
  • $200 million adjusted to $260.7 million
  • $500 million adjusted to $651.7 million
  • $1 billion adjusted to $1,303.4 million

The thresholds for §8 Clayton Act (Interlocking Directorates) will also be adjusted, as follows:

CLAYTON ORIGINAL THRESHOLD AND ADJUSTED THRESHOLD

  • $1 million  adjusted to $2,616,100
  • $10 million  adjusted to $26,161,000
